1. Agreement and Acceptance
This End User License Agreement and Terms of Use ("Agreement") governs access to and use of EM Tech Support Apps, including its software, updates, documentation, templates, interfaces, local data functions, online features, advertisements, and related services (collectively, the "App").
By selecting "I Accept," installing, accessing, or using the App, you agree to this Agreement and acknowledge the Privacy Policy. If you do not agree, do not install or use the App. Material revisions may require renewed in-app acceptance. Nothing in this Agreement limits rights that applicable law does not permit you to waive.
You are responsible for reviewing this Agreement before each material update or continued use after notice of changes. If you use the App on behalf of a business, organization, or other person, you represent that you have authority to bind that party, and "you" includes both you and that party to the maximum extent permitted by law.
2. Eligibility and Territory
You must be at least 18 years old and legally capable of entering a binding agreement. The App is offered for use in the United States market only. Spanish translation and Mexico-related settings may be included for convenience or user preference, but they do not mean the App is offered, marketed, or intended for distribution in Mexico. You are responsible for determining whether your use is lawful where you are located.
3. Free License Grant
Subject to this Agreement, EM Tech Support grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install, access, and use one authorized copy of the App on compatible devices and platforms for your own lawful personal or internal business purposes.
You may use files, reports, exports, documents, media, records, templates, or other output you create with the App for your own lawful personal or internal business operations, subject to the app-specific documentation and third-party rights. This permission does not authorize you to resell, host, white-label, redistribute, monetize, or provide the App itself as a service or commercial product.
The App is licensed, not sold. No ownership interest in the App, source code, branding, advertising inventory, user traffic, or monetization systems is transferred to you.
EM Tech Support may condition, suspend, revoke, or decline any license, update, online feature, ad-feed access, support request, or future version where reasonably necessary for security, abuse prevention, legal compliance, protection of EM Tech Support rights, or violation of this Agreement.
4. Ownership and Reserved Rights
EM Tech Support and its licensors retain all right, title, and interest in and to the App, including software, code, architecture, design, interfaces, templates, documentation, trademarks, logos, trade dress, compilations, ad presentation systems, and all related intellectual-property rights. All rights not expressly granted are reserved.
5. User Data and Output
As between you and EM Tech Support, you retain ownership of user content, local records, attachments, uploads, documents, outputs, and other content you enter or create, subject to any third-party rights and any app-specific license needed to operate the App. Unless an app-specific notice states otherwise, locally stored content is not hosted by EM Tech Support.
You are solely responsible for having authority to process personal information belonging to customers, employees, vendors, and other people; providing any notices or obtaining any consents required by law; maintaining accurate records; and securing, retaining, exporting, and deleting your data.
You represent and warrant that your data, documents, uploads, attachments, logos, scans, entries, media, prompts, outputs, and other content are lawful, accurate to the extent you use or share them, free of malware, and do not infringe or violate another person's rights. You are responsible for reviewing all outputs, exports, backups, uploads, downloads, generated content, and printed documents before relying on them or sending them to anyone.
6. Prohibited Conduct
Except where applicable law expressly prohibits restriction, you may not, and may not help another person to:
- copy, reproduce, redistribute, publish, sell, rent, lease, sublicense, assign, host, timeshare, white-label, or commercially exploit the App;
- modify, translate, adapt, create derivative works from, clone, mirror, frame, or imitate the App or its protected design;
- reverse engineer, decompile, disassemble, discover source code, circumvent technical controls, or extract non-public data, except only to the limited extent such restriction is prohibited by non-waivable law;
- scrape, crawl, index, harvest, monitor, benchmark for competitive replication, or use bots or automated tools against the App, ad feed, referral systems, or related services;
- remove or alter copyright, trademark, sponsorship, affiliate, advertising, privacy, attribution, security, or legal notices;
- interfere with security, encryption, authentication, updates, backups, analytics, ad delivery, ad attribution, referral tracking, sponsorship disclosures, or monetization mechanisms;
- introduce malware, exploit vulnerabilities, overload systems, obtain unauthorized access, or interfere with another user's device or data;
- use the App for fraud, unlawful surveillance, infringement, deceptive conduct, tax evasion, money laundering, or any illegal purpose; or
- represent that you own, sponsor, endorse, or are affiliated with EM Tech Support or an advertiser without written authorization.
- use the App to create, store, transmit, print, or share false, misleading, defamatory, infringing, unlawful, or harmful records; or
- bypass license, update, security, backup, password, disclosure, ad, referral, or usage controls.
7. Unauthorized Monetization and Ad Fraud
Only EM Tech Support may commercially monetize the App, its code, brand, content supplied by EM Tech Support, distribution, traffic, audience, advertising inventory, analytics, referral systems, affiliate links, sponsorships, or related assets.
You may not generate or attempt to generate unauthorized revenue, income, profit, commercial advantage, advertising revenue, affiliate revenue, referral fees, subscription revenue, data revenue, or other compensation from the App or related assets. Prohibited conduct includes click fraud, impression fraud, fake traffic, bots, automated interactions, self-referral abuse, false conversions, incentive manipulation, attribution interference, cookie stuffing, ad replacement, hidden ads, misleading placements, or interference with tracking or disclosures.
To the maximum extent permitted by applicable law, a violation requires a complete accounting and disgorgement to EM Tech Support of 100% of all unauthorized gross revenue and profits obtained directly or indirectly from the violation, without limiting proof of additional damages and without allowing duplicative recovery. EM Tech Support may also seek maximum statutory and actual damages available, prejudgment and post-judgment interest, injunctive relief, a constructive trust, reasonable attorney fees and costs where recoverable, and all other legal or equitable remedies. The parties acknowledge that availability and measurement of these remedies depend on applicable law and are not guaranteed in every jurisdiction.
8. Ads, Sponsored Content, and Affiliate Links
The App may display advertisements, sponsored placements, affiliate links, referral links, direct partner offers, and cross-promotions. EM Tech Support may receive compensation when ads are displayed, clicked, or acted upon. Material connections will be disclosed in a clear manner appropriate to the placement.
Third-party offers are not endorsements or guarantees unless expressly stated. Advertisers control their products, eligibility, terms, prices, availability, privacy practices, and fulfillment. You should independently review all terms before acting on an offer.
9. Third-Party Services and Links
The App may link to websites or services operated by advertisers, app stores, platforms, hosting providers, or other third parties. EM Tech Support does not control and is not responsible for third-party content, malware, security, accessibility, privacy, terms, products, prices, services, eligibility decisions, or outcomes. Your dealings with a third party are solely between you and that third party. Use third-party services at your own risk, subject to non-waivable law.
10. Professional-Advice and Regulated-Use Disclaimer
The App is a general software tool. Unless an app-specific written notice signed by EM Tech Support expressly says otherwise, the App is not a bank, payment processor, accounting firm, tax preparer, investment adviser, broker, law firm, fiduciary, medical provider, emergency service, security service, government service, or other regulated professional service.
Any calculations, classifications, recommendations, labels, reports, generated content, settings, or outputs depend on information you provide and laws, facts, third-party systems, and circumstances that may change. You are solely responsible for source materials, inputs, settings, review, decisions, filing duties, deadlines, notices, consents, and compliance. Verify material results and consult qualified professionals where appropriate.
You agree that examples, default categories, templates, help content, calculations, generated content, report formats, layouts, export formats, or settings are general tools only and are not a recommendation, certification, audit, legal conclusion, professional opinion, or guarantee of compliance. EM Tech Support is not responsible for penalties, audits, rejected filings, missed obligations, incorrect documents, business losses, health or safety decisions, financial outcomes, or other decisions based on App output.
11. Security, Credentials, and Backups
The App may provide local encryption, encrypted backup files, password protection, recovery questions, USB recovery options, account controls, platform controls, and automatic/manual backup tools depending on the specific app. No security or backup method is guaranteed. You are responsible for securing your device account, devices, passwords, recovery answers, USB keys, exports, uploads, printouts, attachments, and backup locations; maintaining independent backups; testing restoration; and protecting confidential information.
Loss of a device, credentials, keys, files, or backups may cause permanent loss or exposure. Do not rely on the App as your only recordkeeping or disaster-recovery system.
Scanner, printer, PDF, file-system, email, cloud-sync, camera, microphone, browser, mobile operating system, desktop operating system, antivirus, driver, network, app-store, and third-party software behavior is outside EM Tech Support's control. You are responsible for confirming that files scanned, captured, attached, printed, exported, restored, uploaded, downloaded, transmitted, or shared are complete, readable, accurate, and delivered to the intended location or recipient.
12. Updates, Compatibility, and Changes
EM Tech Support may provide updates, fixes, security changes, migrations, feature changes, or discontinuations. Updates may be required for security, legal compliance, file compatibility, platform compliance, or continued use. Back up data before updating. EM Tech Support does not guarantee perpetual compatibility with every operating system, device, browser, app store, printer, scanner, third-party format, API, integration, or future data schema.
Because the App is free, EM Tech Support has no obligation to provide any specific feature, support level, update frequency, advertising partner, export format, integration, compatibility, or continued availability. Features may remain experimental, change, be limited, or be removed to the maximum extent permitted by law.
13. Feedback
If you voluntarily provide suggestions about the App, you grant EM Tech Support a worldwide, perpetual, irrevocable, royalty-free license to use and commercialize that feedback without restriction or compensation, provided this does not transfer ownership of your user content.
14. Third-Party and Open-Source Components
The App may include third-party or open-source components governed by separate licenses. Those licenses control to the extent they conflict with this Agreement for the applicable component. Nothing in this Agreement restricts rights granted directly by an applicable open-source license.
15. Suspension and Termination
This license automatically terminates if you materially violate it. EM Tech Support may suspend access to online features or terminate permission to use the App for unauthorized monetization, fraud, illegal conduct, security interference, ad/referral abuse, infringement, or material policy violations.
Upon termination, stop using and uninstall the App. Sections concerning ownership, restrictions, user responsibility, remedies, disclaimers, liability, indemnity, disputes, and general terms survive. Termination does not transfer ownership of your local data to EM Tech Support, but you remain responsible for exporting or retaining data before uninstalling.
EM Tech Support may seek immediate injunctive or equitable relief, without proving irreparable harm or posting bond where legally waivable, for misuse of the App, intellectual-property infringement, security interference, unauthorized monetization, ad/referral abuse, scraping, cloning, reverse engineering, or conduct that threatens EM Tech Support's rights, systems, advertisers, users, or reputation.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL ADS, LINKS, OUTPUTS, FEATURES, AND DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. EM TECH SUPPORT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, DATA PRESERVATION, AND RESULTS.
EM TECH SUPPORT DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, CURRENT, OR SUITABLE FOR YOUR TAX, ACCOUNTING, OR LEGAL OBLIGATIONS. Some jurisdictions do not allow certain disclaimers, so they apply only to the lawful extent.
No oral or written information, support response, help article, website content, ad, demo, screenshot, or communication from EM Tech Support creates any warranty or professional relationship unless expressly stated in a written agreement signed by EM Tech Support.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EM TECH SUPPORT AND THE OWNER, LICENSORS, ADVERTISERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, RELIANCE, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR OPPORTUNITIES; TAXES, PENALTIES, INTEREST, OR PROFESSIONAL FEES; OR LOSS, CORRUPTION, DISCLOSURE, OR INACCESSIBILITY OF DATA, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THE APP IS FREE, SO THIS AMOUNT MAY BE ZERO.
This limitation does not apply where prohibited, including liability that cannot lawfully be excluded or limited for fraud, willful misconduct, certain gross negligence, personal injury, statutory privacy rights, or other non-waivable consumer rights. California and other applicable U.S. consumer protections may provide additional rights.
The limitations apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, equity, and any other legal theory, and apply even if a limited remedy fails of its essential purpose, to the maximum extent permitted by applicable law.
18. Indemnification
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless EM Tech Support and the owner from third-party claims, liabilities, damages, judgments, penalties, losses, and reasonable costs arising from your unlawful use, your data or content, violation of this Agreement, infringement, failure to obtain required authority or consent, inaccurate inputs or outputs, regulated-use decisions, unauthorized monetization, fraud, or harm to another person. This obligation does not require indemnification for EM Tech Support's own conduct to the extent prohibited by law.
EM Tech Support may control the defense of any matter for which you owe indemnity if your defense could affect EM Tech Support's rights, reputation, intellectual property, security, advertisers, or users. You may not settle any claim in a way that admits fault, imposes obligations, restricts rights, or creates liability for EM Tech Support without written consent.
19. Informal Dispute Resolution
Before arbitration or court, the claimant must send a written notice describing the identity of the claimant, facts, requested relief, and contact information to info@emtechsupport.com. The parties will attempt in good faith to resolve the dispute for 30 days. Limitation periods are tolled during that period where required by law.
20. Individual Arbitration; Small Claims; Opt-Out
Except for eligible small-claims matters, requests for public injunctive relief that applicable law requires a court to decide, intellectual-property or security-related injunctive relief, and disputes that cannot lawfully be arbitrated, disputes arising from this Agreement or the App will be resolved by binding individual arbitration administered by JAMS under its applicable consumer arbitration rules and JAMS Consumer Minimum Standards.
The Federal Arbitration Act governs the arbitration agreement. The arbitrator may award individual relief available in court, subject to this Agreement and non-waivable law.
For a consumer arbitration administered by JAMS, EM Tech Support will follow JAMS's consumer fee schedule, JAMS Consumer Minimum Standards, and applicable law. Unless a lower consumer amount is required by JAMS rules, law, or the arbitration clause, the consumer will not be required to pay more than JAMS's then-current consumer initial filing fee, which JAMS currently describes as $250 where the company is required to pay all other costs. EM Tech Support will pay the remaining JAMS case-management fees and arbitrator compensation required for a consumer case, except where JAMS rules or applicable law permit a different allocation after a finding that a claim or counterclaim was frivolous or brought for an improper purpose.
Each party is responsible for its own attorney fees, expert fees, witness fees, travel, copying, mailing, document-preparation, discovery, and other presentation costs unless applicable law, this Agreement, or the arbitrator's award provides otherwise. To the maximum extent permitted by applicable law, the arbitrator may award EM Tech Support its reasonable attorney fees, arbitration costs, expert fees, witness fees, and other recoverable expenses if the arbitrator determines that a consumer claim, counterclaim, position, filing, or requested remedy was frivolous, brought or maintained in bad faith, brought for an improper purpose, intended to harass, or otherwise fee-shiftable under applicable law. EM Tech Support will not require a consumer to pay EM Tech Support's arbitration-provider fees, arbitrator compensation, attorney fees, expert fees, or witness costs merely because the consumer does not prevail, except to the limited extent a court or arbitrator may award fees or costs under non-waivable law.
If a consumer qualifies for a legally required fee waiver or reduction, the applicable fee-waiver rules will apply. In California consumer arbitrations, EM Tech Support will make any required drafting-party payments when due and will treat JAMS invoices as due upon receipt unless the arbitration agreement, provider invoice, or applicable law gives a different deadline. Missing required payments can waive arbitration rights and trigger sanctions under California law.
Either party may bring an eligible individual claim in small-claims court. A user may opt out of arbitration by emailing info@emtechsupport.com within 30 days after first acceptance, stating the user's name, the email address used for the notice, the date of acceptance, and an unequivocal request to opt out of arbitration. Opting out does not affect other terms.
JAMS may decline to administer a consumer arbitration if the clause does not comply with JAMS Consumer Minimum Standards or applicable law. If JAMS declines to administer for reasons attributable to EM Tech Support's noncompliance and the parties cannot agree on a lawful substitute that preserves consumer rights, a court with jurisdiction will determine the proper forum.
21. Class-Action and Jury-Trial Waivers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISPUTES MUST PROCEED ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION. THE ARBITRATOR MAY NOT COMBINE CLAIMS OF DIFFERENT PEOPLE WITHOUT ALL PARTIES' CONSENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY. These waivers do not prevent individual public injunctive relief where California law makes such a waiver unenforceable, and do not restrict non-waivable rights.
22. Governing Law and Venue
California law governs without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. Where a dispute is permitted to proceed in court, exclusive venue will lie in the state or federal courts serving San Bernardino County, California, unless applicable consumer law requires another venue.
23. App Stores and Platform Terms
If obtained through an app store or platform, that provider is not a party to this Agreement and does not provide support for the App unless it separately agrees. EM Tech Support, not the app store or platform, is responsible for the App, support, warranties not disclaimed, and claims relating to the App, subject to this Agreement and law. App-store or platform terms also apply, and mandatory platform terms control if they conflict.
24. Export and Sanctions Compliance
You may not use, export, or transfer the App in violation of U.S. export controls, sanctions, or applicable trade laws. You represent that you are not prohibited from receiving the App under applicable law.
25. General Terms
If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue, except where applicable law requires a different result for the arbitration or class-waiver provisions. Failure to enforce is not a waiver. You may not assign this Agreement without written consent; EM Tech Support may assign it in connection with a business transfer, subject to law. This Agreement, the Privacy Policy, and incorporated notices are the entire agreement concerning the App. Headings are for convenience. Electronic notices and acceptance have the same effect as paper communications where lawful.
Any claim must be brought within one year after it arises, or within the shortest longer period required by applicable law. This contractual limitation period does not apply where prohibited by non-waivable law.
